Terms of Use
These terms govern your use of the Red Zircon websites, the Red Zircon console and all Red Zircon products and services provided by Red Zircon Technologies Ltd. Please read them carefully.
About these terms
These terms are an agreement between you and Red Zircon Technologies Ltd (“Red Zircon”, “we”, “us” or “our”), formerly NGX Web Solutions. They apply when you visit redzircontech.com, create or use an account in the Red Zircon console at app.redzircontech.com, or use our products and services, including ZirconOS, ZirconSuite and ZirconMail.
By creating an account or using our websites or services, you agree to these terms and to our Acceptable Use rules below. Our Privacy Policy and Cookie Policy explain how we handle personal data and form part of how we provide the services. If you do not agree, please do not use the services.
If you use our services on behalf of an organisation, you confirm that you have authority to accept these terms for it, and “you” includes that organisation.
Product-specific terms
Some products have additional terms that apply on top of these terms, for example the ZirconMail Service Terms. If product terms differ from these terms, the product terms apply to that product. An order form, quote or separate agreement for a product also takes priority over these terms for that product.
Your account
- You must be at least 18 years old (or the age of majority where you live) to create a console account. Some products set their own minimum age in their product terms.
- Give accurate information when you register and keep it up to date.
- Each account is for one person. Do not share your sign-in details or sell, transfer or lend your account.
- You must not create accounts using automated means, or create accounts in bulk.
- You are responsible for activity under your account. Use a strong, unique password, add a recovery method, and tell us straight away through our contact form if you suspect unauthorised use.
- We may require additional security steps, such as multi-factor authentication or verification, to protect accounts.
- Keep your recovery details up to date. If you lose your password and have no working recovery method, we may not be able to restore your access. For your security, we will never bypass sign-in protections without being satisfied that you are the account holder.
Acceptable use
You must not use our websites or services to:
- break the law, or help anyone else to do so;
- send spam, unsolicited bulk or commercial email, chain letters or mass mailings, or use our email services for marketing lists, newsletters or bulk notifications without our written agreement;
- send phishing messages, or mail that misrepresents who it is from, or send from addresses or domains you are not authorised to use;
- send, store or share malware, or content that infringes anyone else’s intellectual property, privacy or other rights;
- send, store or share child sexual abuse material, content that promotes terrorism or violent extremism, or content that incites violence or hatred against people;
- harass, threaten, stalk, blackmail, defraud or impersonate any person or organisation;
- gain or attempt unauthorised access to any account, system or network, or probe, scan or test the vulnerability of our services without our written permission;
- interfere with or disrupt our services, including by placing an unreasonable load on them, or work around usage limits or security measures;
- harvest email addresses or other personal data, or copy, scrape, resell or reverse engineer our services, except where the law expressly allows it;
- use our services in breach of applicable sanctions or export control laws;
- use our services to build a competing product.
We report child sexual abuse material and credible threats to life to the appropriate authorities.
Reporting abuse. To report spam, phishing or other abuse coming from any Red Zircon service, use our contact form and choose “Security”, including the full message headers if you can. If you find a security vulnerability, report it the same way, and do not exploit or disclose it.
How we enforce these terms
To protect users and the email system, our systems automatically detect patterns of abuse, such as sudden bulk sending, malware or content that is widely reported as abusive. Automated checks are never used for any other purpose.
If we reasonably believe that an account breaks these terms, we may, depending on how serious the problem is: warn you; temporarily limit features such as sending; hold suspicious activity for review; suspend the account; or close it. Where it is reasonable and safe to do so, we will tell you why and give you a chance to respond or put things right first. If you believe we have made a mistake, contact us and we will review the decision.
Copyright and other complaints
If you believe content handled by our services infringes your copyright or other rights, contact us through our contact form and choose “Legal and terms”. Include your contact details, a description of the work or right concerned, where the content is located, and a statement that your complaint is accurate and made in good faith. We will review it, take appropriate action, and may pass the complaint to the account holder. We may close the accounts of repeat infringers.
Organisations and team members
When you create a console account, you set up an organisation and become its owner.
- The owner and administrators manage the organisation’s details, team members, roles, products and requests. They are responsible for whom they invite and the permissions they grant.
- The organisation is responsible for its team members’ use of our services.
- If you join an organisation, its owner and administrators can see your name, email address and role, and can change your role or remove you.
- Ownership of an organisation can only be transferred with our help, after we have verified the request.
Products, quotes and orders
ZirconMail and ZirconOS are available through the console. Our other products are offered through our sales team.
- When you request a quote or access in the console, we will contact you to understand your needs. A request is not an order and does not commit you to buy anything.
- A quote sets out the products, quantities, prices and any specific terms. It becomes a binding order only when you accept it.
- Product descriptions on our websites are a general guide. Specific features, service levels and limits are set out in your quote, order or the product’s documentation.
Fees and payment
- Free services are provided without charge. We will never charge you for a free service without first asking for and receiving your clear agreement.
- Fees for paid products are set out in your quote or order. Unless stated otherwise, prices exclude taxes such as VAT, which are added where they apply.
- We issue invoices through the console. Invoices are payable by the due date shown on them.
- If an invoice is unpaid after its due date, we will remind you, and we may suspend the paid service after giving you reasonable notice.
- If you think an invoice is wrong, tell us within 30 days of receiving it, and we will work with you to resolve it.
Your content and data
You keep all rights to the content you store or send using our services, such as documents, files, workspace data and messages (“your content”).
You give us permission to host, store, transmit, back up and process your content only as needed to provide, secure and support the services for you, including checking for malware, spam and abuse. This permission ends when your content is deleted from our systems. We do not use your content for advertising, profiling or training AI models, and we do not sell it.
You are responsible for your content and for having the rights needed to use it with our services. We handle personal data as described in our Privacy Policy and, for business customers, any data processing terms agreed with your organisation.
You can ask for an export of your data or your organisation’s data at any time, including before closing an account.
AI features
Some of our services, including the Red Zircon Assistant on our website, use artificial intelligence.
- AI-generated answers can be incomplete or wrong. Check important information before relying on it, and contact our team for anything that matters, such as pricing, contracts or security.
- Answers from AI features are not legal, financial or professional advice.
- Do not enter passwords, payment details or other sensitive information into AI features.
Our intellectual property
Red Zircon, ZirconOS, ZirconSuite, ZirconMail, ZirconCloud, Axinite, ZirconTeams, ZirconShield, ZirconBook, the Red Zircon logo and related names, logos, software and content are owned by Red Zircon Technologies Ltd or its licensors and are protected by intellectual property laws.
We give you a limited, personal, non-exclusive, non-transferable and revocable right to use our websites and services in line with these terms. No other rights are granted. Please see our Trademarks page for how you may refer to our brands.
If you send us feedback or suggestions, we may use them without any obligation to you.
Third-party services and links
Our websites and the emails you receive may link to websites and services run by others. We are not responsible for their content or practices, and their own terms and privacy policies apply. Be careful with links and attachments in emails from people you do not know.
Availability and changes to services
We work hard to keep our services available and secure, but we cannot promise that they will always be uninterrupted or error-free, or that services which depend on other providers (such as email delivery) will always succeed. We may carry out maintenance, which we try to schedule at quiet times. Current service status is shown on our status page.
We continuously improve our services and may add, change or remove features. If a change significantly reduces a service you use, we will give you reasonable notice. If we decide to stop offering a product you use, we will give you at least 90 days’ notice and the means to export your data first, unless the law or a serious security risk requires faster action.
Closing your account, suspension and termination
You can leave at any time. You can close your account whenever you like, by contacting us or, for the console, from Settings → Privacy & data. If you are an organisation’s owner, you will need to transfer ownership or close the organisation first.
What we may do. We may suspend or close an account, or restrict access to a service, if you seriously or repeatedly break these terms, if we must do so by law, if it is necessary to protect our services, other users or the public, if a free account is inactive as described in its product terms, or if invoices remain unpaid after notice. Where it is reasonable to do so, we will tell you first and give you a chance to put things right.
After closure. Where possible, we will give you at least 30 days to export your data, unless the account was closed for serious abuse or the law prevents it. We then delete your data as described in our Privacy Policy. Sections of these terms that by their nature should continue (such as those on liability and disputes) continue to apply.
Disclaimers
Except as expressly set out in these terms or in your order, our websites and services are provided “as is” and “as available”. To the extent the law allows, we do not give any other warranties, conditions or promises, express or implied, including about satisfactory quality, fitness for a particular purpose or uninterrupted availability.
Our liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.
Subject to that:
- we are not liable for loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss;
- we are not liable for loss or corruption of data where you could reasonably have avoided it by keeping your own copies, or that is caused by other providers or by your own actions;
- we are not liable for failures caused by events outside our reasonable control; and
- our total liability arising out of or in connection with these terms and our services in any 12-month period is limited to the greater of the fees you paid us for the service concerned in the 12 months before the event giving rise to the claim, and US$100.
If you are a consumer, you have legal rights that these terms do not affect. We are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We provide our services for domestic and private use only and are not liable to consumers for business losses.
Your responsibility to us
If you use our services for business purposes, you will compensate us for reasonable losses and costs (including reasonable legal fees) arising from claims by third parties caused by your content or by your breach of these terms or of the law.
Changes to these terms
We may update these terms from time to time, for example to reflect new features or changes in the law. We will show the date of the latest version at the top of this page. If we make significant changes, we will give you at least 30 days’ notice by email or in the product before they take effect. If you do not agree to the changes, you may stop using the services and close your account before they apply, and we will help you export your data.
Governing law and disputes
If you have a concern, please contact us first. Most issues can be resolved quickly and informally, and we will try to respond within 14 days.
These terms, and any dispute arising from them, are governed by the laws of the country in which Red Zircon Technologies Ltd is incorporated, and the courts of that country have jurisdiction. If you use our services as a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring proceedings there.
